It’s critical that Directors understand their role relative to other governance stakeholders, the legal obligations they are assuming and must fulfill, and their personal liability exposure in their role.

Learning Objectives
- Role. A review of the role of and distinction between each key governance player: the Board; the Directors; the Officers; the members; and Board committees.
- Responsibilities. Understanding Directors’ powers and legal responsibilities: legal compliance; fiduciary duty, including conflicts of interest; duty of care and skill and the role of the business judgment rule; and the duty to manage.
- Liabilities. Awareness of Directors’ personal liability exposure and key tactics to mitigate their risk.
